1. Scope of Service
Smartestlancer Agency (“SLA”) delivers specialized digital transformation services, including Conversion Rate Optimization (CRO), performance engineering, and full-scale digital marketing consulting. Our diagnostic approach is “Forensic” in nature—leveraging deep data analysis of existing user behavior, technical stacks, and marketplace analytics to deploy continuous technical and creative optimization workflows.
2. The 90-Day Performance Pledge
We operate on a commitment to rigorous activity, rapid iteration, and measurable outcomes. Our performance guarantee is governed by the following parameters:
- Eligibility: This pledge applies exclusively to comprehensive “Full-Stack Optimization” agreements where SLA is granted autonomous execution and implementation control over the client’s digital infrastructure.
- The Operational Goal: If SLA does not successfully deploy and validate an uplift-producing variant within ninety (90) days of campaign launch, SLA will extend its dedicated optimization protocols at zero additional service cost to the client. This extended runway remains active until a statistically validated performance uplift is achieved.
- Data Prerequisites: To maintain testing integrity, the client is required to sustain the minimum monthly ad spend or baseline traffic volume specified in their individual Statement of Work (SOW). Drops below this threshold waive the performance timeline due to the loss of statistical significance.
3. Intellectual Property & Proprietary Frameworks
All proprietary methodologies, “Forensic Diagnostic” frameworks, algorithmic logic, and custom software or JavaScript code engineering developed by SLA (collectively, the “SLA Method”) remain the sole and exclusive intellectual property of SLA Performance Engineering.
- Usage License: Upon full payment of all structural retainers, the client is granted a perpetual, non-exclusive, non-transferable license to use the specific code implementations and creative assets delivered within their active digital properties.
- Restrictions: The replication, reverse-engineering, white-labeling, or resale of SLA’s proprietary optimization protocols and structural frameworks is strictly prohibited.
4. Client Operational Responsibilities
Our ability to hit aggressive infrastructure targets—including our 0.8-second Speed Engineering benchmarks and target ROI metrics—depends entirely on collaborative data access. The client must:
- Provide Integration Access: Furnish secure, administrative access to Google Analytics (GA4), Google Search Console, and all designated multi-channel marketplace APIs (including, but not limited to, Amazon, eBay, and Walmart) within forty-eight (48) hours of onboarding.
- Maintain Environment Stability: Ensure internal or third-party development teams do not modify, overwrite, or conflict with SLA’s deployed “Performance Stacks” or active testing scripts without a formal, written consultation phase.
5. Financial Terms & Retainers
- Invoicing Cycle: Fixed performance retainers are billed monthly in advance and are due upon receipt.
- Late Payment Penalties: Accounts remaining unpaid fifteen (15) days past the invoice date will face an immediate operational hold. This includes the temporary suspension of active A/B experiments, marketing campaigns, and real-time “Speed Monitoring” protocols. SLA holds no liability for performance drops during an administrative suspension.
6. Limitation of Liability
SLA deploys enterprise-grade data models and industry-vetted engineering standards; however, digital ecosystem performance is subject to external forces. SLA shall not be held liable for traffic, ranking, or revenue fluctuations caused by third-party infrastructure shifts, including core search engine algorithm rollouts, advertising network policy updates, platform downtime, or macro marketplace volatility.
7. Mutual Confidentiality (NDA Compliance)
SLA routinely manages high-value, sensitive financial and operational metrics for market-leading brands (e.g., GPS Tracking Mart).
- SLA Commitment: We enforce strict data security protocols regarding your proprietary PPC expenditures, raw conversion metrics, and customer lists.
- Client Commitment: The client agrees to maintain absolute confidentiality regarding SLA’s specialized pricing structures, forensic workflows, strategy blueprints, and internal operational data.
8. Governing Law & Jurisdiction
These Terms of Service, along with all associated Statements of Work, are governed by and construed in accordance with the laws of the jurisdiction in which Smartestlancer Agency is legally registered, without regard to conflict of law principles. Any legal disputes shall be settled exclusively within the designated local courts of registration.
